1. About these terms

These Terms & Conditions (“Terms”) govern your access to and use of the website at aupy.consulting (the “Website”), operated by Aupy E.A.S., trading as AUPY Consultoria E.A.S. (“AUPY”, “we”, “us” or “our”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

2. Who we are

AUPY is a consultancy and Employer of Record (EOR) provider established in Paraguay, providing business advisory, engineering and project services, local business support, and EOR services. Aupy E.A.S. is a company registered in Paraguay (Empresa por Acciones Simplificadas).

3. Use of the Website

You may use the Website for lawful purposes only. You agree not to:

  • use the Website in any way that breaches any applicable law or regulation;
  • attempt to gain unauthorised access to the Website, its servers, or any connected system;
  • introduce viruses, malware or other harmful material;
  • use any automated system to scrape, harvest or extract data from the Website without our written consent; or
  • use the Website in a way that damages, disables, overburdens or impairs it, or interferes with any other party’s use.

Professional advice is only provided under a separate written engagement (see section 5). 5. Engaging our services

Submitting an enquiry or contact form does not create a client relationship or any obligation on either party. Any services we provide are governed by a separate written agreement, proposal or statement of work agreed between you and AUPY, which sets out the scope, deliverables, fees and terms of that engagement. Where those terms conflict with these Terms, the terms of the engagement agreement prevail in respect of that engagement.

6. Intellectual property

Unless otherwise stated, all content on the Website — including text, graphics, logos, the AUPY name and branding, images, and the arrangement of them — is owned by or licensed to AUPY and is protected by intellectual property laws. You may view, download and print Website content for your own personal or internal business use only. You must not reproduce, republish, distribute, sell or commercially exploit any Website content without our prior written consent. The AUPY name, logo and any partner logos may not be used without permission from their respective owners.

7. Third-party links and materials

The Website may contain links to third-party websites and reference third-party organisations (including partners and clients). These are provided for convenience only. We do not control, endorse or accept responsibility for the content, products, services or practices of any third-party site, and your dealings with them are solely between you and that third party.

Our handling of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Website, you acknowledge that we may collect and handle your information as described in that Policy.

9. Availability and changes to the Website

We aim to keep the Website available but do not guarantee that it will be uninterrupted, secure or error-free. We may suspend, withdraw, restrict or change all or any part of the Website at any time without notice. We will not be liable if the Website is unavailable for any period.

10. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Website and its content are provided “as is” and “as available”, and we exclude all warranties, whether express or implied, in relation to the Website.

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability cannot be excluded but can be limited, our liability is limited, at our option, to re-supplying the relevant services or paying the cost of having them re-supplied.

Subject to the above, to the maximum extent permitted by law, AUPY will not be liable for any indirect, incidental, special or consequential loss, or any loss of profit, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of, or inability to use, the Website.

11. Indemnity

You agree to indemnify AUPY against any loss, damage, cost or expense we suffer arising from your breach of these Terms or your unlawful or improper use of the Website, to the extent permitted by law.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Paraguay. You submit to the non-exclusive jurisdiction of the courts of the Republic of Paraguay. If you access the Website from another country, you are responsible for compliance with local laws to the extent they apply.

13. Changes to these Terms

We may update these Terms from time to time. The current version will always be available on this page with the “Last updated” date revised accordingly. Your continued use of the Website after any change means you accept the updated Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force.
